Per SEC Regulation D, participation requires verified accredited investor status:

Net worth exceeding $1M (excluding primary residence)
Annual income of $200K+ ($300K joint) for two prior years
Series 7, 65, or 82 holders in good standing
Qualified institutional buyers and entities ≥ $5M
